Investing in Later Stage Companies
Grayhawk Legacy Partners primarily provides capital for management-led and leveraged buyouts, and recapitalizations, and, to a lesser extent, provides expansion capital, in later stage companies that have an established track record of revenue growth and positive cash flows. Ideal candidates will generally have revenues in excess of $10 million with 10% to 15% cash flow margins and identifiable opportunities for expansion.
A Majority Position
Grayhawk Legacy Partners seeks to acquire no less than 51% and up to 100% of the equity securities of portfolio companies. The investment will generally be in the form of preferred and/or common stock; however, the Fund will also have the ability to invest in minority positions on an opportunistic basis with proper minority shareholder protections. Additionally, the Fund does not have any specific constraints but will generally invest $5
million to $15 million in any one company.
A Patient Investor
Grayhawk Legacy Partners is a “patient” investor and does not impose specific or pre-determined timelines for exits but works with its companies to build optimum value over the long term.
Extensive Due Diligence
Investment candidates should expect Grayhawk Legacy Partners
to conduct extensive due diligence prior to making an investment. The
principals will work closely with an investment candidate’s management to understand its markets, technology, customers, suppliers, and competitors, and focus their efforts on assessing customer relations, financial statement integrity, accounting practices, market conditions, operations, facilities and products/services. It’s critically important to both Grayhawk Legacy Partners and the investment candidate that we have a full understanding of the capabilities and personalities of the key executives, the business model and the dynamics of the industry in which the company competes.
Post-Investment Participation
We believe strongly that investors should add value beyond capital. At Grayhawk Legacy Partners, with our investment comes our involvement. Our team will take a proactive approach to guiding and supporting the strategic initiatives, corporate development activities, and financial strategies of portfolio companies. The Principals will have formal and informal channels of communications and frequent dialogue with the management of the portfolio companies to cultivate a strong working relationship, facilitate proper monitoring, and be able to respond timely on material corporate actions.
Grayhawk Legacy Partners investment will include multiple board representatives and we require a board meeting at least quarterly. Grayhawk
Legacy Partners Principals will also frequently serve as
members or chairpersons of the various committees that
support the board function, including the audit
committee, compensation committee, and executive
committee. We believe strongly in giving management
significant latitude to manage and operate the company
and that active monitoring of company performance,
industry trends and market development is critical to
reducing risk and maximizing value.
